Debt and Equity Source Due Diligence and Representation
Many lessons have been learned by lenders and equity sources over the past few years about relying solely on the developer to provide project information. In addition to more stringent internal underwriting, most debt and equity providers are seeking reliable third party expertise to perform or review due diligence related to the real estate entitlements, suitability of plans and specifications, review of construction documents for completeness, adequacy of project budgets, and review of contract documents for the Architect, Contractor, and other consultants.
In addition, engaging a competent third party to provide periodic on site representation during the construction period as well as follow-up during building commissioning and close out is another step savvy lenders and equity providers are taking to mitigate construction risk. Monthly site visits, review of change order proposals, test reports, applications for payment, monitoring of schedules, and involvement in preventing and minimizing claims are all important services in which the project financing sources are well served to have their own independent and knowledgeable expert on hand to notify them, provide practical resolution alternatives and above all, protect the best interests of the project and preserve the position of the financing source.
